Agile Impacts Terms of Use

These Terms of Use ("Terms") govern your access to and use of the services provided by Agile Impacts, including the Agile Impacts web application, WhatsApp and Telegram chatbots (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

1. Definitions

1.1 "Agile Impacts," "we," "our," or "us" refers to Agile Impacts INC and/or Agile Impacts SL, the provider of the Services.

1.2 "User" or "you" refers to any individual or entity who accesses or uses our Services.

1.3 "Customer" refers to any business or organization that subscribes to or uses our Services.

2. Acceptance of Terms

2.1 By accessing or using our Services, you agree to comply with and be bound by these Terms.

2.2 We may periodically update these Terms. You will be notified of any material changes, and your continued use of the Services will constitute acceptance of the updated Terms.

3. Services

Agile Impacts provides the following Services:

3.1 Agile Impacts Web App:

• An AI-powered web application that allows you to generate your Impact Theory of Change, Impact Indicators, record metrics associated with each indicator, and generate reports and dashboards related to Impact Measurement.

3.2 WhatsApp and Telegram Chatbots:

• AI-powered chatbots that enable you to gather data about your customers, project beneficiaries, and supported initiatives and organizations, through chat-based surveys and other chat-based interactions.

4. User Accounts

4.1 You must create an account to access and use certain features of our Services.

4.2 You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

4.3 You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

5. Usage and Conduct

5.1 You agree to use our Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit any other User.

5.2 You agree not to:

• Use our Services in any way that could damage, disable, overburden, or impair the Services.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Use our Services to transmit any malware, viruses, or other harmful software.
• Collect or harvest any information from our Services using automated means.
• Generate or distribute content that falls into unethical categories such as racism, sexism, hate speech, discrimination by reason of gender, ethnic origin, age, health conditions, or other protected categories.

7. Data Privacy and Security

7.1 Your use of our Services is subject to our Privacy Policy, which details how we collect, use, and protect your personal data.

7.2 You are responsible for ensuring the security of the data you input into our Services.

8. Intellectual Property

8.1 All content, trademarks, service marks, and logos on our Services are the property of Agile Impacts or our licensors and are protected by intellectual property laws.

8.2 You may not use any of our intellectual property without our prior written consent.

9. Subscription and Payment

9.1 Some aspects of the Services may be offered on a subscription basis. Any applicable fees, payment schedules, and subscription terms will be detailed when you sign up.

9.2 Failure to remit payment in a timely manner may result in the suspension or termination of your access to the Services.

10. Termination

10.1 We may terminate or suspend your access to the Services without prior notice or liability if you breach any of these Terms.

10.2 Upon termination, you must cease all use of the Services and delete any copies of associated materials.

11. Limitation of Liability

11.1 To the fullest extent permitted by law, Agile Impacts shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Services.

11.2 Our total liability for any claim relating to the Services shall not exceed the amount paid by you to use the Services.

12. Governing Law

12.1 These Terms are governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.

13. Dispute Resolution

13.1 Arbitration: Any disputes related to these Terms will be resolved by arbitration in Spain, administered by the Corte Civil y Mercantil de Arbitraje (CIMA), operating in Spain, under its Commercial Arbitration Rules.

13.2 Procedure: The arbitration will follow the laws of Spain, and the arbitrator's decision will be final and binding.

13.3 Costs: Each party will bear its own costs and share the arbitrator and CIMA fees equally, unless the arbitrator decides otherwise.

13.4 Exclusive Venue: Any court actions related to enforcing arbitration decisions or interim relief must be brought in courts located in Spain.
